Compuware Appoints Three Independent Directors to Board

New Board Members Bring Objectivity, Accomplishments and Diversity

FARMINGTON HILLS, Mich.--October 1, 2002--Compuware Corporation (Nasdaq: CPWR) today announced that it appointed three independent board members to its Board of Directors. Joining the Compuware board are Gurminder S. Bedi, a retired Ford Motor Company executive; Faye Alexander Nelson, Vice President of Government and Civic Affairs at Wayne State University; and Glenda D. Price, President of Marygrove College. Leaving the Compuware board is Bernard M. Goldsmith, Managing Director of Updata Capital, Inc. who resigned for personal reasons. Two inside board members vacated their seats to support the company’s goal of creating a more independent Board of Directors.

"I am extremely grateful for the long years of service that Barry has devoted to our Board of Directors," said Compuware Chairman and CEO Peter Karmanos, Jr. "His experience and insight was invaluable during one of our greatest periods of sustained growth."

Inside board members Thomas Thewes, a Compuware co-founder and Vice Chairman of the Board of Directors and Joseph A. Nathan, President of Compuware Corporation vacated their board seats so the board could appoint independent, outside directors. Thewes will retain the title of Vice Chairman of the Board-Emeritus and continue to attend board meetings, but will serve in a non-voting capacity. Nathan will continue to serve as President of Compuware Corporation and attend board meetings.

"We wanted a Board of Directors with fewer insiders and more independence," Karmanos said. "In searching for the most qualified candidates, we deliberately looked outside the company for seasoned leaders with long records of accomplishment. The most outstanding individuals were Gurminder, Faye and Glenda who, in addition to their impeccable credentials and strong ties to southeastern Michigan, bring more diversity to our Board of Directors. With the addition of these new board members, I think Compuware has one of the most well-qualified and diverse boards in America."

Gurminder S. Bedi most recently served Ford Motor Company as Vice President of North America Truck. In this capacity he was responsible for Ford’s North American truck business with responsibilities ranging from vehicle development to business and technical strategies. Gurminder has extensive international experience and was previously President of Ford Argentina and Brazil operations during his 30 years at Ford. He has also served on several boards of joint ventures between Ford and its business partners.

Gurminder obtained his MBA with a concentration in Finance at the University of Detroit and graduated with a B.S. in Mechanical Engineering from George Washington University in Washington D.C.

Faye Alexander Nelson is Vice President, Government and Civic Affairs, Wayne State University (WSU), a role she has held since 1996. In this role, she oversees the planning and development of WSU’s University Research and Technology Park. Faye is also responsible for state, county and local legislative and policy affairs for the university, as well as numerous other areas.

Faye received her B.A. from Mercy College of Detroit and her J.D. from the University of Detroit. She has also completed the Harvard Institutes for Higher Education Management Program. Faye is a member of the Sixth Circuit Judicial Conference, as well as Leadership Detroit. Glenda D. Price is President, Marygrove College, a position she has held since 1998. She is responsible for the strategic operations and educational mission for Marygrove, a 5,000-student, 500-employee educational B.S. community. Glenda has held numerous other academic and professional positions including Provost of Spelman College, Assistant Dean at Temple University and Professor, Temple University.

Glenda has served as President of the American Society for Clinical Laboratory Science and has also been a member of the Board of Directors of the Association of Schools of Allied Health Professions.
